These Terms of Service (“Terms”) govern your use of NMGAutoNetwork’s website, mobile app, and services (collectively, the “Service”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Overview of the Service

NMGAutoNetwork provides a tool that enables users to schedule and automatically post content to TikTok on their behalf (“Auto-Posting”). The Service currently supports TikTok only. You remain solely responsible for your use of TikTok and your content posted through the Service.

2. Eligibility

You must be at least the minimum age required by local law to form a binding contract and to use TikTok (generally 13+). By using the Service you represent and warrant that you have the legal authority to accept these Terms and to grant the permissions described in these Terms and our Privacy Policy.

3. Account Registration & TikTok Authorization

• To use the Service you may need to create an account and connect your TikTok account. You must provide accurate, current information and keep it updated.
  
  

• When you connect TikTok, you authorize NMGAutoNetwork to access and store tokens and other permitted TikTok data necessary to perform Auto-Posting. You are responsible for maintaining the security of your TikTok credentials and for any activity that occurs under your account.
  
  

• You may revoke NMGAutoNetwork’s access from TikTok at any time via your TikTok account settings or via account settings in NMGAutoNetwork; revoking access may prevent the Service from functioning.
  
  

4. User Content; Ownership; License to NMGAutoNetwork

• You retain ownership of any content you upload (videos, captions, images, etc.). By uploading content and enabling Auto-Posting, you grant NMGAutoNetwork a limited, non-exclusive, worldwide, royalty-free license to store, process, and post that content to TikTok on your behalf, and to perform related functions necessary to operate the Service.
  
  

• You represent and warrant that you own or control the content you post and that posting the content (and granting the license above) does not violate any third-party right or applicable law.
  
  

5. Prohibited Conduct

You agree not to use the Service to:

• Violate any law, regulation, or TikTok policy.
  
  

• Post content that is unlawful, infringing, obscene, defamatory, hateful, violent, or otherwise prohibited.
  
  

• Automate or attempt to manipulate platform features in ways that violate the platform’s terms (e.g., bypassing rate limits, uploading content that violates TikTok’s community standards).
  
  

• Impersonate others or provide false information.
  
  

• Interfere with the security or proper functioning of the Service.
  
  

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Scheduling, Posting & Responsibility

• The Service schedules and posts content according to the permissions you grant. We attempt to post content as requested but do not guarantee successful posting at any specific time — posting depends on TikTok’s API availability and your account standing.
  
  

• You are solely responsible for the content you schedule and post and for ensuring that such content complies with TikTok rules, third-party rights, and applicable laws. NMGAutoNetwork is not responsible for content moderation decisions made by TikTok or for removals or sanctions imposed by TikTok.
  
  

7. Payments & Fees

• Currently the Service does not require payments. If we introduce paid features or integrate a payment vendor in the future, you will be notified and this Section will be updated. By using paid features you agree to additional billing terms that we provide at that time.
  
  

8. Data, Privacy & Security

• Our collection and use of your data are described in our Privacy Policy, which is incorporated by reference. By using the Service you consent to the collection, use, and retention of your data as described in the Privacy Policy.
  
  

• You authorize us to store access tokens (encrypted) required to post on your behalf. Videos are stored temporarily for processing and posting and then deleted according to our retention schedule.
  
  

9. Third-Party Services & Links

• The Service depends on TikTok and may depend on other third-party providers (hosting, analytics, payment processors). Your use of third-party services is subject to their terms and policies. We have no control over and assume no responsibility for third-party services.
  
  

10. Intellectual Property

• “NMGAutoNetwork”, logos, trademarks, and the Service (excluding your content) are our intellectual property. You may not copy, modify, distribute, or create derivative works from our Service except as permitted in writing.
  
  

11. Termination

• You may delete your account at any time via the Service or by contacting us. We may suspend or terminate your account for violations of these Terms or for any reason with reasonable notice where practicable.
  
  

• Termination does not relieve you of obligations incurred prior to termination. We may retain certain information as required or permitted by law (for fraud prevention, legal compliance, or dispute resolution).
  
  

12. Disclaimers

• THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NMGAUTONETWORK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  
  

• WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
  
  

13. Limitation of Liability

• TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NMGAUTONETWORK, ITS AFFILIATES, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE.
  
  

• OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE PRECEDING 12 MONTHS (IF ANY). IF YOU PAID NOTHING, OUR LIABILITY IS LIMITED TO USD 100 OR THE MINIMUM AMOUNT PERMITTED BY LAW.
  
  

14. Indemnification

You agree to defend, indemnify, and hold harmless NMGAutoNetwork, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of third-party rights.

15. DMCA & Copyright

If you believe that content available through the Service infringes your copyright, contact us at support@nmgroupllc.com with sufficient information to locate and evaluate the claim. We will respond in accordance with applicable law.

16. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the jurisdiction where the operator is located (please replace with your preferred governing law if you wish).
  
  

• For disputes that cannot be resolved informally, you and we agree to submit to the exclusive jurisdiction of the courts in that jurisdiction.
  
  

17. Changes to These Terms

We may modify these Terms at any time. If we make material changes we will provide notice (for example via email or in-app). Continued use of the Service after the “Effective date” of revised Terms constitutes acceptance of those changes.

18. General Provisions

• These Terms, together with the Privacy Policy and any other legal notices on the Service, constitute the entire agreement between you and NMGAutoNetwork regarding the Service.
  
  

• If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
